These Terms & Conditions ("Terms") govern your access to and use of the Chat Wings website, applications, and WhatsApp Business API platform (the "Services") provided by Chat Wings, Inc. ("Chat Wings", "we", "us"). By creating an account or using the Services, you agree to these Terms.
1.Acceptance of terms
You must be at least 18 years old and have the authority to bind your business to these Terms. If you use the Services on behalf of a company, "you" refers to that company. If you do not agree to these Terms, do not use the Services.
2.Your account
- You are responsible for the accuracy of your registration information and for keeping your credentials confidential.
- You are responsible for all activity under your account, including the actions of team members you invite.
- Notify us immediately at chatwingsco@gmail.com if you suspect unauthorized access.
3.Subscriptions & billing
- Paid plans are billed in advance on a monthly or annual basis and renew automatically unless cancelled before the renewal date.
- Conversation charges set by Meta (WhatsApp) are passed through to you and may change based on Meta's pricing.
- Fees are non-refundable except where required by law. Taxes are your responsibility.
- You can upgrade, downgrade, or cancel your plan at any time from your billing settings; downgrades take effect at the next billing cycle.
- We may change plan pricing with at least 30 days' notice before the change applies to you.
4.Free trial
New workspaces may receive a 14-day free trial. No credit card is required, and nothing is charged automatically. At the end of the trial, your workspace is paused until you choose a paid plan; your data remains available for 30 days.
5.Acceptable use
You agree not to use the Services to:
- Send spam or messages to people who have not given valid opt-in consent.
- Send unlawful, deceptive, harassing, or harmful content, or content that infringes others' rights.
- Attempt to probe, disrupt, or gain unauthorized access to the Services or related systems.
- Resell or sublicense the Services without our written permission.
- Use the Services in violation of applicable messaging, telemarketing, or data protection laws (including TCPA, GDPR, and similar regulations).
6.WhatsApp policies
The Services are built on the official WhatsApp Business API. Your use must also comply with the WhatsApp Business Terms, Business Messaging Policy, and Commerce Policy published by Meta. Meta may approve, reject, or revoke message templates and business accounts at its discretion, and we are not liable for such decisions.
7.Your content
You retain all rights to the contact lists, messages, media, templates, and other content you upload ("Customer Content"). You grant us a limited license to host and process Customer Content solely to provide the Services. You are responsible for having the necessary rights and consents for all Customer Content, including opt-in consent from message recipients.
8.Intellectual property
The Services, including software, design, and branding, are owned by Chat Wings and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You may not copy, modify, reverse engineer, or create derivative works of the Services.
9.Availability & support
We aim for 99.9% monthly uptime, excluding scheduled maintenance and factors outside our control (including WhatsApp/Meta outages). Support is provided via in-app chat and email during business hours, with priority support on Growth and Enterprise plans.
10.Termination
- You may cancel your account at any time from your settings.
- We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or if your use creates risk or legal exposure for us or other users.
- After termination, you have 30 days to export your data, after which it may be permanently deleted.
11.Disclaimers
The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that messages will be delivered, that templates will be approved by Meta, or that the Services will be uninterrupted or error-free.
12.Limitation of liability
To the maximum extent permitted by law, Chat Wings will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of these Terms will not exceed the amounts you paid to us in the 12 months before the claim arose.
13.Governing law
These Terms are governed by the laws of the State of California, USA, without regard to conflict of law rules. Any disputes will be resolved in the state or federal courts located in San Francisco County, California, and you consent to their jurisdiction.
